Convertible Debenture Programme 2020

On 28 April 2020, the Annual General Meeting of ÅF Pöyry AB (publ) adopted a resolution, in accordance with a proposal by the Board of Directors, to arrange a convertible debenture loan through the issue of convertible bonds intended for key employees of the ÅF Pöyry Group.

The Board considers it urgent and in the interests of all shareholders that the employees of the Group should have a long-term stake in the satisfactory growth in value of the company’s share. The purpose of a long-term incentive programme is to encourage employees’ continued loyalty to the company and continued good performance. Furthermore, the Board considers that the incentive programme makes the group a more attractive employer.

The programme entails that a nominal value of SEK 148 700 000 in convertibles will be issues to participating key employees. The conversion rate has been determined to SEK 212.20 per share.
